Terms of Service

1. Contracting legal entity

These Terms are between you (and the business you represent) and Podtega LLC, a limited liability company formed in Washington, United States ("Podtega," "we," "us," or "our").

2. Customer authority to enter this agreement

By creating an account, you represent that you have the authority to bind the business entity you are creating the account for to these Terms, and that the information you provide during signup is accurate.

3. Account registration and account security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@podtega.com if you suspect unauthorized access to your account.

4. Permitted business use

Podtega is provided for legitimate business use in managing a vending operation, including sales reporting, inventory management, property-partner reporting, and related business development activity. You may only use Podtega for your own business or businesses you are authorized to represent.

5. Prohibited uses and acceptable-use rules

You agree not to:

• Use Podtega for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorized access to any account, system, or network related to Podtega
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except where applicable law prohibits this restriction
• Use the Service to store or transmit content you do not have the right to use
• Resell or provide the Service to third parties as your own product without our written consent

6. Subscription plans and billing

Podtega is offered on a subscription basis. Current plans, pricing, and machine limits are described on our Pricing page and our Subscription and Cancellation Policy, both of which are incorporated into these Terms by reference. Subscriptions are billed monthly in advance through our payment processor.

7. Seven-day trial terms

Certain plans include a 7-day free trial, as indicated on the Pricing page. A valid payment card is required to start a trial.

8. Automatic conversion from trial to paid subscription

Unless you cancel before the trial period ends, your selected plan will begin automatically at the end of the trial and your payment card will be charged the plan's displayed monthly price. The subscription then renews monthly until canceled.

9. Machine limits and additional-machine charges

Each plan includes a machine/location limit described on the Pricing page. Operating more machines than a plan's included limit results in additional per-machine charges as described on that page, or may require an upgrade to a higher plan.

10. Cancellation and refund rules

You may cancel your subscription at any time as described in our Subscription and Cancellation Policy. Subscription charges are non-refundable. Cancellation stops future billing; it does not refund amounts already charged.

11. Customer responsibility for imported data

You are responsible for the accuracy and completeness of data you import into or connect to Podtega, including data synced from third-party vending platforms, uploaded receipts and photographs, and manually entered records. Podtega's reports and calculations are only as accurate as the underlying data.

12. Customer ownership of customer data

As between you and Podtega, you own the data you submit to or generate through the Service ("Customer Data"), including sales data, property and prospect information, uploaded files, and generated reports.

13. Limited license to process customer data

You grant Podtega a limited, non-exclusive license to access, store, process, and display your Customer Data solely as necessary to provide, maintain, secure, and support the Service, and as otherwise described in our Privacy Policy.

14. Podtega's ownership of its software, website, and brand

Podtega owns or licenses all right, title, and interest in and to the Podtega software, website, designs, documentation, and trademarks, including the Podtega name and logo. Except for the limited rights expressly granted to you to use the Service, no rights are transferred to you.

15. Confidentiality

Each party agrees to protect the other party's confidential information with the same degree of care it uses for its own confidential information of similar nature, and not less than reasonable care, and to use it only as necessary to perform under these Terms.

16. Third-party integrations and service providers

Podtega integrates with and relies on third-party services (for example, payment processing, email delivery, and AI providers) to deliver the Service. Podtega does not control, and is not responsible for, the availability, accuracy, or policies of those third-party services.

17. Sales tax reports, AI-assisted features, and referral tools

Podtega's sales tax reporting, AI-assisted features, and referral/prospecting tools are designed to save time and surface information. They are not a substitute for professional judgment, and you remain responsible for reviewing and acting on what these tools produce.

Sales tax.

• Podtega automatically prepares an Excel spreadsheet from synced or imported vending data, intended to assist with sales tax reporting.
• Podtega does not submit or file tax returns, and does not provide tax, accounting, or legal advice.
• You must review the report for accuracy before use, and you remain responsible for tax rates, classifications, exemptions, deadlines, filing requirements, and submission.
• Report accuracy depends on the completeness and accuracy of the source data and your account settings (for example, configured tax rates by location). Consult a qualified tax professional when needed.

AI-assisted features.

• Certain features use AI to generate commentary, research, proposals, contacts, building information, and recommendations, which may contain errors or omissions.
• You must review AI-generated material before using, publishing, or relying on it. It is provided for your review, not as a final or authoritative answer, and is not professional, tax, legal, financial, or accounting advice.

Referrals and business development.

• Referral tools do not guarantee introductions, locations, contracts, sales, or revenue.
• Prospect and property information may become outdated or incomplete, particularly information sourced from public listings or automated lookups.

18. Service availability and changes

We may modify, update, or discontinue features of the Service at any time. We will make reasonable efforts to maintain the availability of the Service but do not guarantee uninterrupted or error-free operation.

19. Right to refuse service, suspension, and termination

We may decline to open an account for any prospective customer, and may suspend or terminate an existing account's access to the Service, for any lawful reason, including if you materially breach these Terms, if your subscription payment fails and is not cured, or if we reasonably believe your account is being used in violation of these Terms or to harm Podtega or others. You may terminate your account at any time as described in our Subscription and Cancellation Policy.

20. Warranty disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

21. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PODTEGA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. PODTEGA'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID PODTEGA IN THE TWELVE MONTHS PRECEDING THE CLAIM.

22. Indemnification

You agree to indemnify and hold Podtega harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your Customer Data, or your violation of these Terms or applicable law.

23. Governing law and dispute resolution

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms will be brought in the state and federal courts located in Washington, and each party consents to jurisdiction there.

24. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above. Continued use of the Service after a change becomes effective means you accept the updated Terms.
